TERMS OF SERVICE

Welcome to Th3Circle, operated by Th3Circle LLC ("we", "us", "our"). By accessing or using our platform at th3circle.app, you agree to these Terms of Service.

1. ACCEPTANCE OF TERMS

By creating an account or using Th3Circle, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. ELIGIBILITY

You must be at least 13 years old to use Th3Circle. By using the platform, you represent that you meet this age requirement. Users under 18 must have parental consent.

3. ACCOUNTS

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information when creating an account.
• One person may operate one creator account and multiple fan accounts.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. CREATOR RESPONSIBILITIES

• Creators are responsible for the content they post and share with fans.
• Creators must not post illegal, harmful, or infringing content.
• Creators are responsible for fulfilling any promises made to fans (drops, merch, meet & greets, etc.).
• Creators must comply with all applicable laws regarding their content and business.

5. FAN RESPONSIBILITIES

• Fans must treat creators and other fans with respect.
• Hate speech, harassment, threats, and discriminatory language are prohibited.
• Violations may result in warnings, suspensions, or permanent bans.

6. PAYMENTS & FEES

• Th3Circle charges a 3.5% platform fee on transactions processed through Stripe Connect.
• Stripe's standard processing fees (2.9% + $0.30) apply on top of the platform fee.
• Creator subscription plans are billed monthly or yearly as selected.
• VIP fan subscriptions are billed as set by the creator.
• Refunds are handled on a case-by-case basis. Contact support for disputes.

7. CONTENT & INTELLECTUAL PROPERTY

• Creators retain ownership of all content they upload to Th3Circle.
• By uploading content, creators grant Th3Circle a license to display and distribute that content to fans within the platform.
• Th3Circle does not claim ownership of creator content.

8. PROHIBITED CONDUCT

• Using the platform for illegal activities
• Attempting to hack, exploit, or reverse-engineer the platform
• Sharing or distributing exclusive content outside the platform
• Creating fake accounts or impersonating others
• Spamming, phishing, or distributing malware

9. TERMINATION

We may suspend or terminate your account at any time for violations of these Terms. You may delete your account at any time by contacting support.

10. LIMITATION OF LIABILITY

Th3Circle is provided "as is" without warranties. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Th3Circle LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the platform, your content, or your violation of these Terms.

12. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising from these Terms or your use of Th3Circle shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. You and Th3Circle LLC agree to waive any right to a jury trial or to participate in a class action.

Before initiating arbitration, you agree to first attempt to resolve the dispute informally by contacting us at legal@th3circle.app. If the dispute is not resolved within 30 days, either party may proceed with arbitration.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

13. GOVERNING LAW

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the courts located in the State of New Jersey.

14. CHANGES TO TERMS

We may update these Terms at any time. Continued use after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or on-platform notification.
